Annotation: Shareholders` agreement, being a relatively new instrument of corporate regulation, has acquired a wide acknowledgement among members of European Union since the middle of 20th century. The flexible nature of shareholders` agreement, in comparison to constitutional documents of the company, enables to introduce corrections to the business doing and being of the company not demanding any notice to or approval from the authoritative bodies and without the need to bear additional costs, what is unavoidable in case of legislative requirement of articles` of association changes notarization. Besides, confidential nature of this agreement allows the parties not to disclose commercial plans and the fact of coordinated actions present in a company. The convenience of a shareholder`s agreement use lies also in the possibility to decide on the future actions of the shareholders, taking into account various mechanisms to solve deadlocks and establishing a type and amount of liability for a party, which would breach established by shareholder`s agreement contractual obligations. In this article the author analyses the form and subject matter requirements to a shareholder`s agreement, sources of its regulation, as well as the relation between the articles of association and shareholder`s agreement itself, through the regulation experience of Italy, Spain, the Netherlands, Germany, Switzerland, Poland, Belgium and France, in order to familiarize the audience with the best practices of this corporate instrument usage and to effectively incorporate foreign experience to Ukrainian reality.

Annotation: The paper studies the scientific research by Nikola Tesla in Wardenclyffe in 1900-1917. The author considers the scientist’s patented inventions, discloses the principles of the Wardenclyffe Tower, and the role of N. Tesla in the study of electricity.

Annotation: (Русский) Представлено детальное описание получения стабильных характеристик структуры, механических и специальных свойств хромоникелевых чугунов, используемых в настоящее время для изготовления деталей насосов, за счет усовершенствования их химического состава и разработка нового состава прочного чугуна с высокими служебными свойствами. Для получения поставленной цели решались следующие вопросы: - установление взаимозависимости химического состава, структуры, механических свойств и износостойкости хромоникелевых чугунов и улучшение на основе этого их состава для получения стабильных показателей свойств и структуры отливок; - изучение структурообразования и свойств сплавов систем Fе-V и Fе-C-Vв зависимости от типа литейной формы и выбор базового легирующего комплекса для оптимального состава износостойкого чугуна; - установление взаимосвязи химического состава, структуры, механических свойств и прочности комплексно-легированных ванадиевых чугунов для выбора нового состава с требуемыми свойствами; - исследование взаимосвязи типа литейной формы на структуру и свойства ванадиевых чугунов; - промышленное опробование и внедрение в производство отливок из улучшенного и нового составов чугуна.

Annotation: This article describes the Orthodox faiths' vision of ways to build a United Local Church, the reaction of the Ukrainian Churches to the process of obtaining autocephaly, and comparing of the Church's position in this question.

Annotation: This article researches the history of development and reforming of the health care system in Ukraine during the period of Ukrainian Soviet Socialist Republic, as well as an establishment of the health care system in an Independent Ukraine. The research is based on analysis of legislation and scientific research in the field of people’s health protection. «Simashko’s system» of health care financing was examined for advantages and disadvantages. The article also includes the analysis of changes that happened due to the transformation of the financial system of the health care field and legal regulation of a new financing model, that got a name «Beveridge’s system». As a result of this research a conclusion on achievements in reforming of a health care system of Ukraine was made, as well as a number of disadvantages were stated.

Annotation: (Українська) В межах даної статті здійснено теоретико – правовий аналіз положень Конвенції ООН про міжнародні мирові угоди, що були укладені в результаті медіації. Сформульовано пропозиції по вдосконаленню вітчизняного законодавства, з метою приведення його у відповідність до положень Конвенції.

Annotation: (Українська) Стаття присвячена проблемам прокурорського нагляду у сучасний період розвитку України. Розкриваються основні проблеми прокурорського нагляду та причини прокурорського нагляду, які сьогодні заважають прокурорам реально впливати на якість розслідування, а також шляхи вирішення проблем прокурорського нагляду. Визначено що конституційною функцією прокурора і основою судочинства є підтримка прокурором публічного обвинувачення в суді.

Annotation: (Українська) Розглянуто відносно новий вид злочину, такий як серійні вбивства. Адже зростання їх жорстокості ставить завжди питання про осудність злочинців, які їх скоюють. Описано застосування інституту обмеженої осудності в таких випадках.
